Terms of Service

These Terms of Service ("Terms") govern your access to and use of the ConvexMarkets platform, including all related services, tools, and content ("Service"), operated by Ecopus Solutions Pte. Ltd. ("Company," "we," "us," "our").

By accessing ConvexMarkets, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree, do not use the Service.

1. Eligibility and Access

You represent and warrant that you are at least 18 years of age, are a legal entity authorized to enter binding agreements, and that your use complies with all applicable laws and regulations in your jurisdiction. Access requires authentication via Google OAuth; you are responsible for all activities under your account.

2. Service Description and Scope

ConvexMarkets provides analytics tools for Taiwan's convertible bond ("CB") market, historical and real-time market data, quantitative models and calculation tools, and a dashboard for tracking CB instruments.

No Investment Advice

IMPORTANT: ConvexMarkets is an analytical tool only. Nothing in ConvexMarkets constitutes investment, legal, or tax advice. You are solely responsible for evaluating the accuracy and timeliness of data, conducting your own due diligence before any investment decision, and consulting qualified financial advisors. We are not liable for any investment losses or decisions made based on ConvexMarkets data or analysis.

3. Acceptable Use

You agree not to:

  • Use ConvexMarkets for illegal purposes or in violation of applicable laws
  • Attempt to gain unauthorized access (hacking, reverse engineering, scraping)
  • Disrupt the Service through denial-of-service attacks, malware, or other harmful means
  • Reproduce, redistribute, or resell ConvexMarkets data or content without written permission
  • Use the Service to compete directly with Company's offerings
  • Make bulk downloads of data beyond reasonable personal use

4. Intellectual Property Rights

All content, code, design, and analytics tools in ConvexMarkets are the exclusive property of Ecopus Solutions Pte. Ltd. or its licensors. You are granted a limited, non-exclusive, non-transferable license to access and use the Service for your own institutional purposes only. Market data provided by third-party vendors remains their property; you may not redistribute this data without explicit written consent from both Company and the data vendor.

5. Data Accuracy and Disclaimer

ConvexMarkets data comes from public sources, market feeds, and third-party providers. We do not guarantee real-time accuracy, completeness of historical records, freedom from errors, or absence of service outages. ConvexMarkets is provided "as is" without warranty of any kind. Your use is entirely at your own risk.

6. Confidentiality

Company will protect your account information per our Privacy Policy. If you share confidential information with Company (e.g., proprietary strategies), Company will not disclose this to third parties without your consent, except as required by law.

7. Limitation of Liability

To the maximum extent permitted by law, Company is not liable for lost profits, indirect, incidental, consequential, special, or punitive damages, or losses arising from investment decisions. Our total liability shall not exceed the greater of the amount you paid for the Service in the 12 months preceding the claim or USD $100. These limitations do not apply to death or personal injury caused by our gross negligence or fraud.

8. Indemnification

You agree to defend, indemnify, and hold harmless Company from any claims, damages, or costs (including legal fees) arising from your violation of these Terms, your use of the Service, or your infringement of third-party rights.

9. Term and Termination

These Terms begin when you first access ConvexMarkets. You may terminate by stopping use of the Service; your data will be deleted 90 days after your last login. We may terminate or suspend your access immediately if you violate these Terms or we suspect fraudulent activity. Sections 4, 5, 7, and 8 survive termination.

10. Modifications

We may modify or discontinue ConvexMarkets or any feature at any time. We will provide 30 days' notice for material changes that reduce functionality. Material Terms changes will be communicated via email; your continued use after changes constitutes acceptance.

11. Governing Law and Dispute Resolution

These Terms are governed by the laws of Singapore. You irrevocably submit to the exclusive jurisdiction of the courts of Singapore for any disputes arising from these Terms. Before filing a lawsuit, both parties agree to a 30-day good-faith resolution period. Disputes may alternatively be resolved through binding arbitration under Singapore International Arbitration Centre (SIAC) rules if both parties agree.

12. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Company regarding the Service and supersede all prior agreements or discussions.
