This Agreement constitutes a legally binding contract between you ("User" or "you") and ConvexMarkets ("Provider," "we," "us," or "our"). The Provider reserves the right to amend this Agreement at any time. Continued use of the Service following notice of any amendment constitutes your acceptance of the amended Agreement.
1.1 Informational and Educational Purpose Only The Service is a technology platform that provides automated data aggregation, analytical tools, quantitative models, and market condition assessments. All content, outputs, data, visualizations, reports, and communications generated by or through the Service are provided solely for general informational and educational purposes.
1.2 Not Investment, Financial, Legal, or Tax Advice NOTHING CONTAINED IN OR GENERATED BY THE SERVICE CONSTITUTES, OR SHOULD BE CONSTRUED AS, PROFESSIONAL INVESTMENT ADVICE, FINANCIAL ADVICE, SECURITIES RECOMMENDATIONS, TAX ADVICE, OR LEGAL ADVICE OF ANY KIND. Specifically: • No output, chart, score, signal, model result, or data point generated by the Service constitutes a recommendation to buy, sell, hold, or otherwise transact in any security, financial instrument, commodity, currency, or other asset. • The Provider is not a registered investment adviser, broker-dealer, financial planner, tax adviser, or legal counsel under the laws of any jurisdiction. The Provider does not act in a fiduciary capacity with respect to any User. • Past performance data or historical model outputs shown in the Service are not indicative of future results and carry no predictive guarantee. • Market data, analytical outputs, and model results presented by the Service may be delayed, incomplete, or inaccurate.
1.3 Independent Professional Consultation Required Before making any investment, financial, tax, or legal decision, you should consult with a qualified and licensed professional advisor who is familiar with your individual financial circumstances, investment objectives, risk tolerance, and applicable legal and regulatory requirements. The Provider strongly encourages Users to seek independent professional advice prior to making any financial commitment.
1.4 User Responsibility for Investment Decisions You are solely and exclusively responsible for all investment decisions you make, whether or not such decisions are informed by content generated by the Service. The Provider bears no responsibility, direct or indirect, for any investment decision made by any User.
2.1 "As Is" and "As Available" Basis THE SERVICE IS PROVIDED ON AN "AS IS," "AS AVAILABLE," AND "WITH ALL FAULTS" BASIS. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE PROVIDER EXPRESSLY DISCLAIMS ALL WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING WITHOUT LIMITATION: • Any implied warranty of merchantability, fitness for a particular purpose, title, or non-infringement; • Any warranty that the Service will meet your requirements or expectations; • Any warranty that the Service will be uninterrupted, timely, error-free, or secure; • Any warranty as to the accuracy, completeness, reliability, currentness, or timeliness of any data, content, or outputs produced by or through the Service.
2.2 Third-Party Data Sources The Service may incorporate data sourced from third-party providers, public databases, financial data vendors, and other external sources. The Provider makes no representation or warranty regarding the accuracy, completeness, reliability, or fitness for any particular purpose of such third-party data. The Provider is not responsible for errors, omissions, interruptions, or delays in third-party data feeds, nor for any decisions made in reliance thereon.
2.3 Inherent Limitations of Quantitative Models Quantitative, algorithmic, and mathematical models used within the Service have inherent limitations. Models are based on historical data, assumptions, and simplifications that may not reflect current or future market conditions. Model outputs: • May fail to capture sudden market dislocations, systemic events, or conditions outside historical norms; • Are subject to model risk, parameter sensitivity, and data quality risk; • Should not be relied upon as the sole basis for any investment decision; • May produce results that deviate materially from actual market outcomes. USE OF ANY MODEL OUTPUT IS ENTIRELY AT YOUR OWN RISK.
2.4 No Guarantee of Service Availability The Provider does not guarantee continuous, uninterrupted, or error-free access to the Service. The Provider reserves the right to modify, suspend, or discontinue the Service, or any feature thereof, at any time without prior notice and without liability to any User.
3.1 Exclusion of Damages TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL THE PROVIDER, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, LICENSORS, SERVICE PROVIDERS, OR SUCCESSORS (COLLECTIVELY, "PROVIDER PARTIES") BE LIABLE FOR ANY DAMAGES OF ANY KIND OR NATURE ARISING OUT OF OR IN CONNECTION WITH YOUR ACCESS TO OR USE OF, OR INABILITY TO ACCESS OR USE, THE SERVICE, INCLUDING WITHOUT LIMITATION: • Any direct, indirect, incidental, special, consequential, exemplary, or punitive damages; • Any loss of profits, revenue, business opportunities, goodwill, or anticipated savings; • Any loss of capital, trading losses, or investment losses of any kind, whether or not foreseeable; • Any damages arising from errors, omissions, delays, or inaccuracies in data or model outputs; • Any damages arising from service interruptions, technical failures, cybersecurity incidents, or unauthorized access; • Any damages arising from your reliance on any content, output, or information generated by the Service.
3.2 Aggregate Liability Cap TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE AGGREGATE LIABILITY OF THE PROVIDER PARTIES FOR ANY CLAIM ARISING OUT OF OR RELATING TO THIS AGREEMENT OR THE SERVICE SHALL NOT EXCEED THE GREATER OF: (A) THE TOTAL FEES PAID BY YOU TO THE PROVIDER IN THE THREE (3) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM; OR (B) NT$10,000 (TEN THOUSAND NEW TAIWAN DOLLARS), REGARDLESS OF THE FORM OF ACTION OR THE THEORY OF LIABILITY.
3.3 Essential Basis of the Bargain You acknowledge that the disclaimers of warranty and limitations of liability set forth in this Agreement reflect a reasonable and fair allocation of risk between you and the Provider, that the Provider would not have made the Service available to you in the absence of such limitations, and that such limitations shall apply notwithstanding any failure of essential purpose of any limited remedy.
3.4 Jurisdictional Limitations Some jurisdictions do not allow the exclusion of certain warranties or the limitation or exclusion of liability for certain categories of damages. In such jurisdictions, the Provider's liability shall be limited to the maximum extent permitted by law. Nothing in this Agreement limits liability that cannot be limited or excluded under applicable law, including liability for fraud, willful misconduct, or death or personal injury caused by negligence.
3.5 Waiver and Release By using the Service, you hereby release and waive, to the fullest extent permitted by applicable law, any and all claims, demands, actions, causes of action, and rights of any kind against the Provider Parties arising out of or relating to your use of the Service, including any investment losses or decisions made in reliance on the Service. If you are a resident of California, United States, you waive the benefits of California Civil Code Section 1542, which provides that a general release does not extend to claims which the creditor does not know or suspect to exist at the time of executing the release.
You agree to defend, indemnify, and hold harmless the Provider Parties from and against any and all claims, liabilities, damages, judgments, awards, losses, costs, expenses, and fees (including reasonable attorneys' fees) arising out of or relating to: • Your use of or access to the Service; • Your violation of this Agreement or any applicable law or regulation; • Your investment decisions or financial transactions, whether or not made in reliance on the Service; • Your infringement of any intellectual property or other rights of any third party; • Any content or data you submit to or through the Service.
5.1 Ownership All intellectual property rights in the Service, including but not limited to software, source code, algorithms, quantitative models, user interface designs, data structures, databases, graphics, text, and documentation, are and shall remain the exclusive property of the Provider or its licensors. This Agreement does not transfer any ownership rights to you.
5.2 Limited License Subject to your compliance with this Agreement, the Provider grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Service solely for your own personal, non-commercial informational purposes. This license does not include any right to: • Download, copy, reproduce, or cache any portion of the Service, except as expressly permitted by the Provider; • Modify, adapt, translate, or create derivative works based on the Service or its outputs; • Reverse engineer, decompile, disassemble, or attempt to derive the source code or underlying algorithms of the Service; • Scrape, crawl, or use automated means to extract data from the Service; • Redistribute, resell, sublicense, or commercially exploit the Service or any outputs generated therefrom; • Represent or present any output of the Service as "investment recommendations," "investment research," or as the product of a licensed investment advisor; • Use the Service in any manner that could damage, disable, overburden, or impair the Service.
6.1 Scope This section describes the Provider's practices regarding the collection, use, and disclosure of information obtained through your use of the Service. By using the Service, you consent to the data practices described herein.
6.2 Information Collected The Provider may collect the following categories of information: • Usage Data: IP address, browser type and version, device identifiers, operating system, referring URLs, pages visited, features used, session duration, and clickstream activity within the Service. • Technical Data: Log files, error reports, and performance metrics generated by your use of the Service. • Analytics Data: Aggregated and anonymized usage patterns collected through third-party analytics services.
6.3 Analytics Technologies (Google Tag System) The Service utilizes the Google Tag system, which may include Google Analytics and Google Tag Manager. These tools employ cookies, web beacons, and similar tracking technologies to collect and process Usage Data for the purpose of analyzing Service performance and improving the user experience. Data collected through the Google Tag system is subject to Google's Privacy Policy and Terms of Service. The Provider does not control Google's data processing practices and encourages Users to review Google's policies directly. You may opt out of Google Analytics data collection by installing the Google Analytics Opt-out Browser Add-on (available at https://tools.google.com/dlpage/gaoptout), or by configuring your browser to reject cookies. Please note that certain features of the Service may be unavailable or impaired if cookies are disabled.
6.4 Use of Information Information collected through the Service is used solely for the following purposes: • To operate, maintain, and improve the Service; • To monitor and analyze usage patterns and Service performance; • To diagnose and resolve technical issues; • To comply with applicable legal obligations.
6.5 Disclosure of Information The Provider does not sell, rent, or trade your personal usage data to third parties for their marketing or commercial purposes. The Provider may disclose information: • To service providers acting on the Provider's behalf, subject to confidentiality obligations; • As required by applicable law, court order, or regulatory authority; • To protect the rights, property, or safety of the Provider, Users, or the public; • In connection with a merger, acquisition, or sale of all or substantially all of the Provider's assets, provided the acquiring entity agrees to be bound by this Privacy Policy.
6.6 Data Security The Provider implements commercially reasonable technical and organizational measures to protect information collected through the Service against unauthorized access, disclosure, alteration, or destruction. However, no method of transmission over the internet or electronic storage is entirely secure. The Provider cannot guarantee absolute security and accepts no liability for unauthorized access to or disclosure of your information resulting from circumstances beyond the Provider's reasonable control.
6.7 Data Retention The Provider retains Usage Data and Technical Data for as long as necessary to fulfill the purposes described in this Privacy Policy, unless a longer retention period is required or permitted by applicable law.
This Agreement is effective from the date you first access or use the Service and remains in effect until terminated. The Provider may, in its sole discretion, terminate or suspend your access to the Service at any time and for any reason, with or without notice, and without liability. Upon termination, all licenses granted to you under this Agreement shall immediately cease. Sections 2, 3, 4, 5, 6, 7, 8, and 9 of this Agreement shall survive termination.
8.1 Governing Law This Agreement shall be governed by and construed in accordance with the laws of Taiwan, without regard to its conflict of laws provisions.
8.2 Dispute Resolution Any dispute, controversy, or claim arising out of or relating to this Agreement, or the breach, termination, or invalidity thereof, shall be subject to the exclusive jurisdiction of the courts located in Taipei. Each party irrevocably submits to the personal jurisdiction of such courts and waives any objection to venue or jurisdiction.
8.3 Entire Agreement This Agreement constitutes the entire agreement between you and the Provider with respect to the Service and supersedes all prior or contemporaneous agreements, representations, warranties, and understandings, whether written or oral.
8.4 Severability If any provision of this Agreement is found to be invalid, illegal, or unenforceable by a court of competent jurisdiction, such provision shall be modified to the minimum extent necessary to make it enforceable, and the remaining provisions of this Agreement shall remain in full force and effect.
8.5 Waiver The failure of the Provider to enforce any right or provision of this Agreement shall not constitute a waiver of such right or provision. Any waiver of any provision of this Agreement shall be effective only if in writing and signed by an authorized representative of the Provider.
8.6 Assignment You may not assign or transfer this Agreement or any rights or obligations hereunder without the prior written consent of the Provider. The Provider may freely assign this Agreement in connection with a merger, acquisition, reorganization, or sale of all or substantially all of its assets. Any purported assignment in violation of this section shall be null and void.
8.7 Amendments The Provider reserves the right to modify this Agreement at any time. Changes will be effective upon posting of the revised Agreement to the Service, and the revised effective date will be updated accordingly. Your continued use of the Service following any such modification constitutes your acceptance of the amended Agreement. It is your responsibility to review this Agreement periodically.
8.8 Force Majeure The Provider shall not be liable for any failure or delay in performance resulting from causes beyond its reasonable control, including but not limited to acts of God, natural disasters, war, civil unrest, acts of terrorism, governmental action, internet or telecommunications failures, cyberattacks, power outages, or third-party data provider failures.

BY ACCESSING OR USING THE SERVICE, YOU ACKNOWLEDGE THAT YOU HAVE READ THIS AGREEMENT IN ITS ENTIRETY, UNDERSTAND ITS TERMS, AND AGREE TO BE LEGALLY BOUND BY ALL OF ITS CONDITIONS. YOU FURTHER ACKNOWLEDGE THAT THIS AGREEMENT CONSTITUTES A COMPLETE AND EXCLUSIVE STATEMENT OF THE AGREEMENT BETWEEN YOU AND THE PROVIDER, AND THAT IT SUPERSEDES ANY PROPOSAL OR PRIOR AGREEMENT, ORAL OR WRITTEN, AND ANY OTHER COMMUNICATIONS RELATING TO THE SUBJECT MATTER OF THIS AGREEMENT.
